TERMS AND CONDITIONS

  1. GENERAL REQUIREMENTS
    1. Infinite Connection Network (“IFC8”) is a non-exclusive freight forwarding network, administered by Infinite Connection Pte Ltd (“Infinite Connection”) and supported by the World Cargo Alliance network (“WCA”), that comprises of members whose companies are located worldwide. The range of services provided by the members of IFC8 are air and ocean forwarding, project cargo, hazardous cargo, air and sea chartering, customs clearance, transportation arrangements and other services generally associated with logistics.
    2. IFC8 members are to support their fellow members as far as possible in their respective cities and adhere to their contracts and/or agreements with their fellow members in their respective cities which involves following up with sales leads, acting as delivery agents and effectively completing the service that had been agreed on.
  2. CO-OPERATION WITH OTHER MEMBERS
    1. All members of IFC8 have to observe the terms and conditions that have been set by the network.
    2. Mutual respect has to be shown to all members of the network and the need to be co-operative is vital.
    3. Members must employ sufficient staff to meet their operational needs and adopt good practice procedures.
    4. A member that has demonstrated a repeated failure to co-operate with another member in the network may be expelled from the network.
    5. A subsidiary and/or parent company and/or associated company of a member who is not listed on the IFC8 website is not a member of IFC8 and is not bound by IFC8’s Terms and Conditions and/or Code of Ethics and a member dealing with such a subsidiary and/or parent company and/or associated company does so at its own risk.
    6. Notwithstanding that IFC8 is acting with the support of WCA, WCA is a separate network and members of WCA may not necessarily be members of IFC8 as well. An entity that is not a member of IFC8 is not bound by IFC8’s Terms and Conditions and/or Code of Ethics and a member dealing with such an entity does so at its own risk.
  3. ADMITTANCE REQUIREMENTS
    1. The screening of applicants will be done by Infinite Connection and any decision made on whether to admit an applicant by Infinite Connection will be final. The following benchmarks / considerations will be taken into account when making a decision whether to admit an applicant into the network:
      1. The number of years of establishment (at least 3 years)
      2. The financial credibility of the company
      3. The certifications for listed qualifications (which have to be submitted)
      4. 3 reliable International freight agent references which the company is doing business with and have done business with for at least 2 years
      5. The trading regions of the company
      6. Coverage by Errors and Omissions and Freight Service Liability insurance with a minimum sum of USD100,000 for both is required.
  4. NOTIFICATION OF ADMISSION 
    1. Once an application has been approved and before the applicant may be admitted, the applicant will have to sign an agreement (the “Agreement”) accepting the terms and conditions of IFC8 (the “Terms and Conditions”) and agreeing to abide by the code of ethics of IFC8 (the “Code of Ethics”), such Terms and Conditions and Code of Ethics as may be amended from time to time by Infinite Connection upon giving of prior notice e. The latest version of the Terms and Conditions and the Code of IFC8 can be found on IFC8’s website. Upon the signing of the Agreement and the receipt of payment of the relevant membership fee, Infinite Connection will admit the new member. A notification will be sent out to all existing members on the admission of the new member.
    2. The initial membership fee payable will be conveyed to the applicant upon request but in any event no later than when his application has been approved. The applicant agrees to bear any withholding tax that may be applicable and shall pay the membership fee without any deduction
    3. The company profile of the new member will be displayed on the IFC8 website once they have been formally admitted into the network.
  5. ANNUAL MEMBERSHIP FEE
    1. The fees may be revised on a yearly basis.
    2. A member’s initial membership year runs for one year from the date the member joins the network and is up for renewal on anniversary of the date the member joined. The invoice for the payment of the subsequent membership fees for renewal will be issued 30 days before the end of the membership year and the member shall bear the relevant bank charges of the payment. The member agrees to bear any withholding tax that may be applicable and shall pay the membership fee without any deduction.
    3. There will be no refund for any membership fees in any case of a member’s expulsion. Once payment has been received, it is non-refundable nor exchangeable.
    4. Payment of membership fees are due upon receipt of invoice. An invoice is deemed to have been received by a member on the same day that the e-mail was sent as long as the e-mail does not bounce back.
    5. Payment of the membership fee entitles a member to coverage under IFC8’s protection scheme (the “Infinite Protection Scheme”) without any additional charges subject to the terms of the Infinite Protection Scheme, as may be amended from time to time, which can be found on IFC8’s website. In order for a member to enjoy the benefits under the Infinite Protection Scheme, the member agree to be bound by the terms of the Infinite Protection Scheme.
  6. TERMINATION OF MEMBERSHIP
    1. Resignation from the network must be done at least 30 days before the end of the membership year and the notice of resignation must be provided to Infinite Connection in writing.
    2. If the notice of resignation is received after the above stated time frame, the member will have to pay for the full membership fee.
    3. A member is liable to be expelled from the network upon Infinite Connection giving the member 7 days’ notice, for the following reasons:
      1. Where a member acts in a manner which exposes Infinite Connection and/or other members of IFC8 to legal liability in the jurisdictions where the Infinite Connection and/or other members of IFC8 are present.
      2. Where a member fails to pay any of Infinite Connection’s invoices within 30 days from the date of the invoice.
      3. Where a member has breached the any of the terms of these Terms and Conditions herein.
      4. Where a member has breached a term of the Code of Ethics.
    4. Members who have been expelled will not receive a refund in their membership fee. The foregoing is also without prejudice to Infinite Connection’s right to recover the sums due on any outstanding invoice.
  7. LANGUAGE
    1. The English language shall be used in all business communications between members.
    2. Emails and newsletters sent out by IFC8 will be in English.
  8. PAYMENTS TO OTHER MEMBERS
    1. All shipment invoices received within a month will have to be paid on time according to the agreed terms. Infinite Connection highly recommends credit terms to be 30 days from the date of invoice
    2. All payments should be made by bank transfer unless stated otherwise.
  9.  ATTENDENCE OF ANNUAL CONVENTION
    1. Attendance is compulsory for all members of IFC8.
    2. Members are to pay the registration fee upon receipt of invoice. The member agrees to bear any withholding tax that may be applicable and shall pay the registration fee without any deduction. . An invoice is deemed to have been received by a member on the same day that the e-mail was sent as long as the e-mail does not bounce back
    3. All flight and accommodation expenses are to be paid by the members themselves.
    4. In any case of disability to attend the meeting, a substitute attendee is acceptable. This is to encourage full participations from all members to benefit from the meeting.
    5. Members who fail to attend 2 consecutive conventions may be expelled from the network.
  10. USE OF INFINITE CONNECTION TRADEMARK
    1. Members are encouraged to display IFC8’s logo in all business communications such as website, advertising brochures and business cards
    2. For members whose memberships are ceased, Infinite Connection will reserve the right to take legal actions on any unauthorized usage of the logo.
    3. Usage of the logo will be an indicator of the member’s membership with the network.
  11. NEWS UPDATES
    1. New members will submit a short company profile on their specializations and various business areas in their city and country.
    2. Infinite Connection will publish all new members’ profile on IFC8’s news updates as well as all social media platforms
    3. IFC8’s news updates will always include updates on new members who have joined and members who have left the network
    4. Infinite Connection welcomes any fresh and stimulating articles/resources relating to freight forwarding from members to be published on IFC8’s website. However, members are to ensure that such articles / resources are not subject to any copyright issues. Members agree to indemnify Infinite Connection in respect of any third party claims against Infinite Connection arising out of any copyright issues in relation to such articles / resources.
  12. GOVERNING LAW AND ARBITRATION
    1. As between Infinite Connection and the members of IFC8, their contractual relations shall be governed by and construed in accordance with Singapore law.
    2. Any dispute between Infinite Connection and the members of IFC8 arising out of or in connection with the between Infinite Connection’s administering and/or enforcement of the Terms and Conditions, Code of Ethics and rules and regulations for the network, shall be referred to and finally resolved by arbitration in Singapore at the SIAC in accordance with the SIAC Rules for the time being in force at the commencement of the arbitration. The arbitration shall be before a sole arbitrator. The parties may agree who shall be appointed the sole arbitrator and if the parties are unable to agree on the appointment within thirty (30) days from the date of service of the Notice of Arbitration, the Chairman of SIAC shall appoint the sole arbitrator upon the application of either part.
  13. DISPUTE RESOLUTION BETWEEN MEMBERS
    1. Infinite Connection provides a mediation service free of charge to try and resolve disputes arising between the members themselves. The members however, shall be responsible for the costs of engaging their own lawyers, if they choose to do so at this stage.
    2. Notwithstanding any term to the contrary in the contract between the members themselves, all members agree that they shall first refer any dispute between themselves to Infinite Connection and to attempt to have it resolved by mediation first before engaging in any litigation and/or arbitration, as the case may be.
